Sales terms

These general terms of sale (hereinafter referred to as the Terms and Conditions) apply to all sales transactions concluded between Finetrek OÜ (reg. code 12045657), as the Seller, and the customer, as the Buyer.

 

  1. The Terms and Conditions form an integral part of the purchase and sale agreement concluded between the Seller and the Buyer.
  2. In the event of any conflict between the Terms and Conditions and the Agreement, the conditions agreed upon in the Agreement shall prevail.
  3. The Agreement enters into force upon signing.
  4. The Parties have the right to withdraw from the Agreement before its fulfillment in the cases and under the procedure provided in the Agreement and applicable legislation.
  5. If the Seller is obliged to deliver the goods to the Buyer or to a location designated by the Buyer, the Parties shall separately agree on the allocation and payment of transportation costs.
  6. Ownership of the goods transfers from the Seller to the Buyer after the full payment of the sales price to the Seller.
  7. If the Buyer fails to pay for the purchased goods, the Buyer's representative is personally liable as a guarantor for the unpaid amount.
  8. Together with the goods, the Seller provides the Buyer with all documents related to the goods.
  9. All delivered products are accompanied by a delivery note or an invoice. The Buyer is obliged to verify that the delivered products and quantities correspond to the delivery note and invoice. Upon delivery, the Buyer must immediately inspect the goods to ensure that there are no visible damages. The Buyer must submit any claims regarding the nonconformity of the products with the terms of the Agreement within 5 days after the products have been delivered.
  10. The Seller provides a warranty for the goods in accordance with the warranty terms provided by the suppliers, starting from the date the goods are handed over to the Buyer.
  11. The Parties are responsible for any breach of their obligations arising from the Agreement.
  12. If the Buyer delays payment of the sales price beyond the agreed term, the Seller has the right to charge a late payment interest of 0.1% of the overdue amount per each calendar day of delay, but not exceeding 15% of the transaction value.
  13. If the Seller delays the performance of contractual obligations, the Buyer has the right to charge a late payment interest of 0.1% per each day of delay, but not exceeding 15% of the transaction value.
  14. Communication between the Parties shall take place in a form that allows written reproduction, except for notifications without legal consequences, sent to the contact details specified in the Agreement.
  15. All amendments to the Agreement shall enter into force after being signed by both Parties, from the moment of signing or from the date agreed upon in writing by the Parties.
  16. Any disagreements and disputes related to the Agreement shall primarily be resolved through negotiations. If disputes arising from the Agreement cannot be resolved through negotiations, they shall be settled by Harju County Court (in Tallinn).
